End-User License Agreement ("Agreement")

1. Parties and Scope

This End User License Agreement ("EULA") governs the licensing relationship between

("Ibilities", "we")

and you as the user (hereinafter "you") of the iPIN2 software (hereinafter the "App") on the platforms Windows, macOS, iOS, iPadOS, and Android.

By installing, activating, or using the App, you agree to this EULA. If you do not agree to the terms, you may not install, activate, or use the App.

2. License Grant

Ibilities grants you a revocable, non‑exclusive, non‑transferable, personal, and limited right to install and use the App on devices that you own or control.

The license covers:

  • use of the free basic version with the functionality enabled therein
  • a time‑limited trial of the Premium features
  • after purchasing a Premium license, full access to the Premium features via the respective distribution channel (Section 3)

The license is granted exclusively for personal, non‑commercial use. Commercial or in‑organization multi‑user use requires a separate agreement with Ibilities.

3. Distribution Channels

The App is available through the following channels:

  • Apple App Store (iOS, iPadOS, macOS) — distributed by Apple Inc.
  • Google Play (Android) — distributed by Google LLC
  • Microsoft Store (Windows) — distributed by Microsoft Corporation
  • Direct purchase for Windows via Stripe, Inc. — Stripe acts as the seller (Merchant of Record) under the "Stripe Managed Payments" service

In addition to this EULA, the respective terms of use of the distribution partner through which you obtained the App apply. In case of conflict between this EULA and mandatory provisions of the respective distribution partner, the latter prevail to the extent they are mandatorily applicable.

4. Restrictions

You may not:

  • copy, reproduce, distribute, rent, lease, sell, or sublicense the App or parts of it, except as expressly permitted
  • reverse engineer, decompile, disassemble, or otherwise attempt to reconstruct the source code of the App, except where mandatory law permits this (e.g., Art. 6 EU Software Directive)
  • circumvent or attempt to circumvent security mechanisms, license, or access protection functions
  • use the App in a manner that violates applicable law or infringes the rights of third parties
  • install the App on devices of third parties over which you have no control
  • remove or alter copyright notices, trademarks, or other proprietary notices

5. Intellectual Property

All rights in the App — including copyrights, trademarks, patents, and trade secrets — remain with Ibilities Inc. or its respective licensors. This EULA does not transfer any intellectual property rights of Ibilities to you, except for the usage rights expressly granted in Section 2.

The App contains third‑party components subject to their own licenses. An overview can be found in the App under Settings → "Licenses" or from Ibilities on request.

6. Updates

Ibilities may update the App at any time to add features, fix errors, or improve security. Updates are delivered via the respective distribution channel.

We reserve the right to discontinue support for certain platforms or operating system versions where technically or commercially necessary.

7. Premium Features, Trial, and Purchase

The App includes free basic functions as well as paid Premium features.

Trial: You may try the Premium features free of charge for a limited period. After the trial period expires, the Premium features will be automatically deactivated unless you have purchased a Premium license. The basic functions remain available without change.

Purchase: Premium licenses are sold through the respective distribution partner (Apple, Google, Microsoft, Stripe). The contractual party for the purchase is the respective distribution partner; Ibilities provides the license after purchase. Details on the purchase process can be found in our Terms & Conditions and in the terms of the respective distribution partner.

8. Term and Termination

This EULA applies from the moment you install the App and until terminated in accordance with this section.

Termination by you: You may terminate this EULA at any time by uninstalling the App from all devices.

Termination by Ibilities: We may terminate this EULA with immediate effect if you materially breach its provisions. In the event of termination due to breach of contract, you are obligated to uninstall and delete the App and all copies thereof.

Upon termination, your license expires. Sections 4, 5, 9, 10, and 13 survive termination.

9. Warranty

Free version: The free basic version and trial features are provided "AS IS" and "AS AVAILABLE" without any express or implied warranty.

Premium version: For the paid Premium version, mandatory statutory warranty rights apply for consumers in the European Union (in Germany: §§ 327 et seq. BGB, minimum of 2 years from delivery) and cannot be excluded by this EULA.

We do not warrant that the App will function without errors or interruptions at all times, that all defects will be remedied, or that the App will be compatible with every future hardware or software configuration.

10. Limitation of Liability

To the extent permitted by law, the liability of Ibilities arising out of or in connection with this EULA is limited to the higher of: (a) the amount actually paid by you for the App, or (b) USD 100.

Ibilities is not liable for special, indirect, incidental, consequential, or pecuniary damages, including lost profits, data loss, or business interruption.

Unaffected remain: Liability for willful misconduct and gross negligence, for damages arising from injury to life, body, or health, for maliciously concealed defects, and under the Product Liability Act. Mandatory statutory liability provisions in favor of consumers in your country of residence also remain unaffected.

11. Privacy

The processing of your personal data is governed by our Privacy Policy, which you can review at any time at https://ipin2.de/en/privacy-policy/.

iPIN2 is designed as a locally operating password manager. Vault data is stored exclusively on your device; no transmission to Ibilities or third parties takes place (exception: optional sync features that you activate yourself — see Privacy Policy).

12. Export Controls and Sanctions

You declare that you have not obtained or used the App in or from a country subject to a US government export ban or an EU or United Nations embargo, and that you are not on a sanctions list of the United States, the EU, or the United Nations.

13. Governing Law and Jurisdiction

This EULA is governed by the laws of the State of Florida, USA, excluding its conflict‑of‑laws rules.

Notice to EU consumers: Insofar as you act as a consumer with habitual residence in an EU member state, mandatory consumer protection provisions of your state of residence remain unaffected; in particular, the venue at your place of residence remains available to you.

14. Changes to this EULA

We may adjust this EULA from time to time to adapt it to new legal, technical, or product‑related developments. We will notify you of material changes in an appropriate manner (e.g., by a notice in the App or by email, if a contact address is available). In case you reject material changes, you are free to uninstall the App.

15. Final Provisions

If any provision of this EULA is or becomes invalid or unenforceable, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by an effective regulation that comes closest to the economic purpose of the invalid provision.

This EULA constitutes the entire agreement between you and Ibilities with respect to the App and supersedes all prior oral or written agreements.
