1. Scope and Parties
These Terms & Conditions ("Terms") govern the contractual relationship between

("Ibilities", "we")
and you ("user", "you") with respect to the use of the iPIN2 App and the associated website https://ipin2.de.

These Terms supplement our End User License Agreement (EULA), which governs the licensing relationship in the narrower sense. In case of conflicts, the EULA prevails on licensing matters.
2. Description of the Service
iPIN2 is a locally operating password manager for the platforms Windows, macOS, iOS, iPadOS, and Android. The App stores vault contents (passwords, notes, credentials) encrypted exclusively on your end device. Optional sync mechanisms (AirSync, iCloud Sync) can be activated by the user.
iPIN2 is offered as a Freemium model:
- Free version: permanently free basic functions
- Premium version: annual subscription that unlocks the Premium features across all supported platforms (Windows, macOS, iOS, iPadOS, Android) with a single subscription
- Premium trial: 14‑day free trial of the Premium features, cancellable at any time before the trial ends (no charge during the trial)
No registration or creation of an Ibilities account is required for use.
3. Conclusion of Contract and Purchase Processing
iPIN2 is sold exclusively through the following distribution partners:
- Apple App Store (iOS, iPadOS, macOS) — Apple Inc.
- Google Play (Android) — Google LLC
- Microsoft Store (Windows) — Microsoft Corporation
- Stripe, Inc. (Windows direct purchase) — Stripe acts as the seller (Merchant of Record) under the "Stripe Managed Payments" service
The purchase contract for the Premium license is concluded between you and the respective distribution partner, not directly with Ibilities. The terms and conditions of the respective distribution partner apply:

After the purchase, Ibilities provides the licensing service to you as described in the EULA.
4. Prices, Subscription, Payment, and Taxes
Prices are displayed in the respective distribution channel and include — where applicable — statutory value‑added tax.
Premium subscription:
- Price: €6.99 per year (currency converted to your country at checkout)
- Cross‑platform: A single subscription unlocks the Premium features across all supported platforms (Windows, macOS, iOS, iPadOS, Android).
- Trial period: 14 days free of charge. No amount is charged during the trial. Cancelling before the end of the trial prevents any charge.
- Automatic renewal: After the trial ends, the annual subscription will be charged at the then‑current price. The subscription automatically renews for an additional year unless cancelled at the latest on the last day of the current contract period.
- Price changes: We or the respective distribution partner will inform you of any changes to the subscription price in good time before the next renewal. In the event of a price change, you have the right to cancel the subscription before the change takes effect.
For purchases via Stripe Managed Payments, Stripe as Merchant of Record calculates, collects, and remits the applicable taxes. For purchases via the Apple App Store, Google Play, or Microsoft Store, this is done by the respective store operator.
Payment data is processed exclusively by the respective distribution partner. Ibilities does not receive any payment data, only purchase confirmations.
5. Right of Withdrawal for Consumers Resident in the EU
If you, as a consumer (within the meaning of § 13 BGB) with habitual residence in an EU member state, enter into a paid contract, you are entitled to a statutory right of withdrawal. Since the purchase contract is concluded with the respective distribution partner (Apple, Google, Microsoft, Stripe), the right of withdrawal is primarily governed by their terms.
Withdrawal instructions (for purchases directly via Stripe Managed Payments):
You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the date of conclusion of the contract. To exercise your right of withdrawal, you must inform Stripe as your contracting party by means of a clear statement (e.g., a letter sent by post or by email) of your decision to withdraw from this contract.

To meet the withdrawal deadline, it is sufficient for you to send the communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Early expiry of the right of withdrawal (§ 356 (5) BGB):
The right of withdrawal expires early in the case of digital content if (a) the provider has begun to perform the contract after (b) you have expressly consented to the performance beginning before the expiry of the withdrawal period, and (c) you have confirmed your awareness that, by giving your consent, you will lose your right of withdrawal upon commencement of the performance of the contract. For purchases via Stripe, you will be asked to consent accordingly during checkout.
For purchases via the App Stores, the withdrawal rights of the respective store operator (Apple, Google, Microsoft) apply. Refund requests must be addressed directly to the respective store.
6. Support
We offer support to Premium users via email to support@ibilities.com and via our helpdesk portal: https://ibilities.atlassian.net/servicedesk/customer/portals
We strive to handle support requests within a reasonable time. No guarantee is given for specific response times or problem resolutions.
For users of the Free version, support is available on a limited basis.
7. Availability of the App and Changes
We strive for the highest possible availability of the App and its functions. However, uninterrupted or error‑free availability is not guaranteed. Maintenance, updates, or technical disruptions may temporarily lead to restrictions.
We reserve the right to further develop, modify, or discontinue individual functions, including Premium features or entire platform versions. In the case of material changes that significantly impair your ability to use the App, we will inform you in good time and in an appropriate manner.
8. Cancellation of the Subscription and Termination of the Use Relationship
Termination of App use:
You can terminate the use at any time by uninstalling the App from all your devices. Any Premium subscription remains unaffected and continues according to the terms of the respective distribution partner until cancelled.
Cancellation of the Premium subscription:
The Premium subscription can be cancelled at any time. Cancellation stops automatic renewal; the Premium features remain available until the end of the already‑paid contract period.
- Purchases via Stripe Managed Payments: Through the Stripe Customer Portal (link in the confirmation email or at https://billing.stripe.com). Stripe confirms the cancellation by email.
- Purchases via Apple App Store: Through the subscription management in your Apple account.
- Purchases via Google Play: Through the subscription management in your Google account.
- Purchases via Microsoft Store: Through the subscription management in your Microsoft account.
Cancellation during the 14‑day trial prevents any charge.
Termination by Ibilities:
We may terminate the use relationship with immediate effect in the event of a material breach of the EULA or these Terms.
9. Warranty
For the Premium version, mandatory statutory warranty rights apply for consumers in the EU (in Germany: §§ 327 et seq. BGB, minimum of 2 years from delivery). These rights are not limited by these Terms.
The Free version and trial features are provided "AS IS".
10. Liability
The liability provisions of our EULA (Section 10) apply.
The following remains in particular unaffected:
- liability for willful misconduct and gross negligence
- liability for damages arising from injury to life, body, or health
- liability under the Product Liability Act
- mandatory consumer protection provisions of your country of residence
11. Privacy
The processing of your personal data is governed by our Privacy Policy, available at https://ipin2.de/en/privacy-policy/
iPIN2 stores vault data exclusively locally on your device. No transmission to Ibilities or third parties takes place (except for optional sync features activated by the user).
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, USA, excluding its conflict‑of‑laws rules.
Notice to EU consumers: Mandatory consumer protection provisions of your country of residence remain unaffected; in particular, the venue at your place of residence remains available to you.
Online dispute resolution (Art. 14 ODR Regulation):
The European Commission provides a platform for online dispute resolution, which you can access at https://ec.europa.eu/consumers/odr/
Consumer arbitration (§ 36 VSBG, Germany):
We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
13. Changes to these Terms
We may adjust these Terms to adapt them to new legal, technical, or product‑related developments. We will inform you of material changes affecting your rights and obligations as a user in an appropriate manner (e.g., by a notice in the App or on https://ipin2.de). In such case, you have the right to terminate the use with effect from the date the change takes effect.
14. Final Provisions
If any individual provisions of these Terms are or become invalid or unenforceable, this shall not affect the validity of the remaining provisions.
